SECURITY TURBOCHARGE TERMS AND CONDITIONS 

  1. Definitions

“Arrow ECS Australia” or “Arrow” means Arrow ECS Australia Pty Limited ABN 70 006 687 056 of Suite 4, 7/9 Help St, Chatswood, NSW 2067.

Security Turbocharge is an incentivisation program created to promote enablement and sales across Palo Alto Network’s solutions.

Participant means an eligible employee of Partner who is participating in the Program.

Partner means an authorised Arrow ECS Australia reseller.

Program means the Security Turbocharge program run by Arrow ECS Australia.

Program Guide means the document, provided by Arrow ECS Australia, that describes the Program in more detail.

Quarter means a Palo Alto Networks Quarter (August-October 2024, November-January 2025, February-April 2025, May-July 2025.)

Program Period means the period 1st October 2024 at 9:00 AM AEDT to 31st July 2025 at 11:59 PM AEDT from which the Program is run.

  1. Program overview and eligibility

2.1. This Partner Program is designed to reward Partners for activities outlined in the platform, including, but not limited to, attending webinars and events and transacting sales on Palo Alto Networks solutions.

2.2. All partners are eligible to participate, but they must be registered Partners with both Palo Alto Networks and Arrow.

  1. Judging Criteria

3.1. Prizes will be awarded based on the accumulated amount of points on the leaderboards each quarter.

3.2. Proof of the sale of product or activity and relevant information of such sale will need to be provided to Arrow.

  1. Judging of winners

4.1. Allocation of prizes for the Program winners shall be done by Arrow and such allocation by Arrow is final and determined in Arrow’s absolute discretion and will be based on information available and in possession of Arrow.

4.2. Judging of all prizes shall be done by Arrow at Suite 4, 7/9 Help St, Chatswood, NSW 2067 on an ongoing basis across the Program Period.

4.3. Winners will be notified by email when specific milestones have been met. Partners or Participants will have 30 days to respond. All Program winners will have 10 business days to respond via email to Arrow with their full name and professional email address in order to claim their prize

4.4. If a selected winner cannot be contacted, is ineligible, fails to claim a prize the prize may be forfeited and an alternate winner selected from remaining valid, eligible entries timely submitted.

4.5. Program Participants must be a current employee with the Partner to redeem the Prize.

  1. Prizes

5.1 A range of prizes are available for participants who achieve 1st place (or, in the case of individual Quarterly Leaderboards, 2nd place) on the relevant leaderboards. The specific prizes outlined below are subject to change at the discretion of the program administrators, with or without prior notice. Prizes include, but are not limited to:

a) Partner (Entity) Quarterly Leaderboards: Prizes are awarded based on quarterly performance, assessed within two distinct pillars—Enterprise and Commercial—and two primary categories.

  • Most Points:

The company placing 1st in a quarter will receive a cash prize of AUD $2,000, payable as a direct bank transfer, along with 10 x Gold Class Tickets valued at AUD $480.

  • Highest Growth:

The company demonstrating the highest quarter-over-quarter growth will receive AUD $2,000, payable via bank transfer to the winning company.

b) Sales Representative Quarterly Leaderboards: Prizes are awarded based on individual performance across two pillars—Enterprise and Commercial—and two key categories.

  • Most Points:

The individual placing 1st in a quarter will be awarded AUD $1,000, and the 2nd place individual will receive AUD $500, both payable in the form of gift cards.

  • Highest Growth:

The individual demonstrating the highest quarter-over-quarter growth will receive AUD $1,000, with the 2nd place individual receiving AUD $500, both in gift cards.

c) Annual Top Prize: At the conclusion of the Palo Alto Networks financial year (October 2024 - August 2025), the Top Seven Sales Reps will be selected based on cumulative performance, comprising:

  • Top 4 Sales Reps by Most Points: (2 from Enterprise, 3 from Commercial)
  • Top 2 Sales Reps by Growth: (1 from Enterprise, 1 from Commercial)
  • Top 1 Tech Talent, Calculated by: Technical trainings attended; Certifications completed; Number of UTD, SLR and sales conversion tools used, Channel feedback, such as recommendations by peers, Palo Alto Networks or vendor 
  • These seven winners, along with two representatives from Arrow ECS and one from Palo Alto Networks, will be invited to attend a bespoke getaway to International Top End mystery tropical island destination, to be revealed in mid-November 2024. The experience includes a four-day guided tour with three nights of premium accommodation, all inclusive (meals and drinks), and flights included, worth a minimum of AUD $5,000 per person. The prize is non-transferable and cannot be exchanged for cash.

5.2. Unless outlined above, the following costs are not covered by Arrow ECS Australia, including but not limited to:

  • Travel insurance, visa fees, or other travel and charges;
  • Airport transfers;
  • Hotel room nights on pre/post Prize dates;
  • Room charges and room service;
  • Meals not provided as part of the Prizes;
  • Any social activity not provided as part of the Prizes;
  • Travel to and from events;
  • FBT; and
  • Any reward card fees, currency conversion fees and any other fees or tax implications incurred when using the reward card.
  1. Confidentiality

6.1. Participants, Partners and employees agree to keep these terms confidential, and not to share or disclose Program details to other distributors, vendors or anyone not registered with the Program.

6.2. Arrow may disqualify Partners or Participants for breach of these Terms and Conditions.

  1. Arrow Rights

7.1. Arrow reserves the right to add to, vary, cancel, postpone or revoke the Program, Terms and Conditions, judging criteria, and prizes in whole or in part, or vary the Program Period, if it deems any future circumstances warrant such a decision, including but not limited to changes to government directives about pandemics. Arrow will be the final authority with respect to interpretation of the Program rules including final review and participation and award eligibility and no correspondence will be entered into.  

7.2. Arrow reserves the right to verify the validity of the data or claims and reserves the right to disqualify any Partner and Participant who has not provided correct information or who has otherwise tampered with the entry process or does not otherwise comply with these Program Terms and Conditions. Arrow will be the final authority in determining the validity of any claims made for eligible purchases. 

7.3. Arrow may rescind eligibility for Program participation and prizes including, but not limited to, in the following circumstances: 

  • If any sales are found to be fraudulent or via grey marketing (unauthorised sale or distribution of branded products outside of the official distribution channels); 
  • If sales are fulfilled using another distributor; 
  • For unlawful or improper conduct; 
  • Breach of clause 6 (Confidentiality); or 
  • Breach of these Terms and Conditions. 

 

  1. General

8.1. Arrow takes no liability for any tax issues (including but not limited to FBT) which may arise from accepting a prize in this Program. Partners and Participants should seek independent tax advice.   

8.2. Except for any liability that cannot be excluded under law, Arrow disclaims all liability, including but not limited to personal injury, negligence, damage, loss or any consequential or special loss that arises in any way under the Program. 

8.3. To the extent permitted by law, Partner agrees to indemnify and hold harmless Arrow and each of its agents, officers and employees and to keep indemnified, against all loss, actions, costs, expenses, claims and damages arising from any breach by the entrant of these Terms and Conditions and any award, acceptance, use of or participation in, any component of the price, including any personal injury suffered by a prize winner.

8.4. To the extent permitted by law, all conditions, warranties, guarantees, rights, remedies, liabilities (including but not limited to consequential and indirect loss) and other terms implied by law, statute or custom are excluded from the Program and these Terms and Conditions.  

8.5. If, notwithstanding the above, any supply under these Terms and Conditions is a supply of goods and services to a consumer within the meaning of the Australian Consumer Law under the Competition and Consumer Act 2010 (Cth), nothing contained in these Terms and Conditions excludes, restricts or modifies any right or remedy, or the imposition of any liability under the Australian Consumer Law, provided that to the extent that the Australian Consumer Law permits Arrow to limit its liability, then the Arrow’s liability will be limited to:

  • in the case of services, the cost of supplying the services again or payment of the cost; or
  • in the case of goods, the cost of replacement, supplying equivalent goods, repair of the goods or payment of the cost of replacement, supply of equivalent goods or repair of the goods.

8.6. Conduct of this Program and these Terms and Conditions are governed by the laws of New South Wales, Australia. By submitting an entry, the Partner submits to the exclusive jurisdiction of the courts of New South Wales.

8.7. Any entries become the property of Arrow.

8.8. By participating in the Program, Partner and Participants acknowledge that they have read and agree to these Terms and Conditions and that they agree to the collection and use of their personal information they provide to Arrow which will be used  for the purposes of administering the Program in accordance with Arrow’s privacy policy located at  https://www.arrow.com/globalecs/nz/regional-pages/legal-and-policies/privacy-policy/, By participating in the Program, Partner and Participants agree and acknowledge that the personal information they provide to Arrow  may be used by Arrow for future marketing without any further reference or payment or other compensation to the Participant and Partner in accordance with the Arrow’s privacy policy. In conducting the Program, Arrow may pass personal information to its related bodies corporate and agencies and or subcontractors or business partners having a need to know for purpose of assisting with the Program, some of these entities may be located outside Australia. If the information requested is not provided, Partner and Participant may not participate in this Program.

8.9. If any provision of these Terms and Conditions is prohibited by law or judged by a court to be unlawful, void or unenforceable, the provision will, to the extent required, be severed from these Terms and Conditions and rendered ineffective as far as possible without modifying the remaining provisions of these Terms and Conditions. This severance will not in any way affect any other circumstances of the validity or enforcement of these Terms and Conditions. 

8.10. These Terms and Conditions contains the whole agreement between the parties in respect of the subject matter of these Terms and Conditions and supersedes and replaces any prior written or oral agreements, representations or understanding between them relating to such subject matter. No representation, undertaking or promise has been given nor shall be taken to have been given or be implied from anything said or written in negotiations between the parties prior to accepting these Terms and Conditions. Neither party has relied on any prior representations, undertakings or promises and the parties hereby waive any right, claim or remedy which they might otherwise have had in relation to them.
